These Terms of Use (the "Terms") govern your access to and use of Floaa's website, mobile application,  content, products, subscriptions, and related services (collectively, the "Services"). The Services are  operated by EB & Co. Inc.. 

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the  Services. 

1. ELIGIBILITY 

You must be legally able to enter into a binding agreement to use the Services. If you are under the age of  majority in your jurisdiction, you may use the Services only with permission from a parent or guardian. The  Services are not directed to children under 13. 

2. DESCRIPTION OF THE SERVICES 

Floaa provides habit-building, goal-setting, productivity, personal operating system, and coaching-style  tools designed to help users create routines, track progress, and improve consistency. 

The Services may include free features, paid features, subscriptions, app content, automated prompts, AI supported features, reminders, analytics, and related tools. 

3. NO GUARANTEED OUTCOMES 

Floaa is a tool for support, structure, reflection, and accountability. We do not guarantee any specific  outcome, result, habit change, financial improvement, business result, health result, athletic result, or  personal transformation. 

Your results depend on your own decisions, consistency, circumstances, and actions. 4. COACHING DISCLAIMER

The Services provide general habit-building, productivity, goal-setting, and self-improvement support. The Services do not provide medical, mental health, legal, financial, tax, investment, employment, or other  professional advice. You are responsible for your own decisions and should consult qualified  professionals when appropriate. 

The Services are not designed for emergencies or urgent support. 

5. ACCOUNTS 

You may need to create an account to use certain features. You agree to provide accurate information,  keep your login credentials secure, and notify us promptly of unauthorized account use. 

You are responsible for activity under your account. 

6. SUBSCRIPTIONS AND PAID FEATURES 

Certain features may require a paid subscription. The annual subscription price is currently $119/year. The  monthly subscription price is currently $14.99/month. 

Subscriptions may automatically renew unless cancelled before the end of the current billing period.  Billing, cancellation, renewal, and refund processes may be handled by the applicable app store or  payment provider.

7. FREE TRIALS AND PROMOTIONS 

We may offer free trials, early access, founder pricing, discounts, or promotional offers. Offer terms may  vary by platform, user, region, or campaign. Unless otherwise stated, promotional offers are available for a limited time and may be changed or discontinued. 

8. CANCELLATION 

You can cancel your subscription through the platform where you purchased it, such as Apple App Store  account settings, Google Play account settings, or another payment provider dashboard. Deleting the app  may not cancel your subscription. 

9. REFUNDS 

Purchases made through the Apple App Store or Google Play are generally subject to the refund policies  and processes of Apple or Google. Purchases made directly through Floaa or EB & Co. Inc., if offered, are  subject to the refund terms presented at checkout or in our Refund Policy. 

10. USER CONTENT

You may submit goals, habits, check-ins, notes, reflections, messages, preferences, and other content  through the Services ("User Content"). You retain ownership of your User Content, but you grant us a  limited right to use it to operate, provide, secure, personalize, and improve the Services. 

You are responsible for your User Content and agree not to submit content that is unlawful, infringing,  harmful, abusive, deceptive, or otherwise violates these Terms. 

11. ACCEPTABLE USE 

You agree not to: 

• Use the Services for unlawful, harmful, fraudulent, abusive, or deceptive purposes. • Attempt to reverse engineer, copy, scrape, interfere with, or disrupt the Services. 

• Access the Services using automated systems without permission. 

• Upload malicious code or compromise security. 

• Misrepresent your identity or affiliation. 

• Use the Services to infringe intellectual property or privacy rights. 

• Use the Services in a way that violates applicable law or platform policies. 

12. INTELLECTUAL PROPERTY 

The Services, including software, design, logos, brand elements, text, graphics, workflows, content, and  other materials, are owned by EB & Co. Inc. or its licensors and are protected by intellectual property laws. 

You may not copy, modify, distribute, sell, lease, or create derivative works from the Services except as  permitted by these Terms or applicable law. 

13. APP STORES AND THIRD-PARTY PLATFORMS 

Your use of the Services may also be subject to the terms, policies, and rules of Apple, Google, or other  third-party platforms. We are not responsible for third-party platforms, payment processors, or services. 

14. CHANGES TO THE SERVICES 

We may modify, suspend, or discontinue any part of the Services at any time. We may also add, remove,  or change features, pricing, plans, or availability. 

15. TERMINATION 

We may suspend or terminate access to the Services if we believe you violated these Terms, created risk  or harm, misused the Services, or if required by law or platform policy. 

You may stop using the Services at any time and may request account deletion as described in our  Account Deletion page and Privacy Policy.

16. DISCLAIMERS 

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of  merchantability, fitness for a particular purpose, and non-infringement. 

17. LIMITATION OF LIABILITY 

To the fullest extent permitted by law, EB & Co. Inc. and its directors, officers, employees, contractors,  agents, affiliates, and service providers will not be liable for indirect, incidental, special, consequential,  exemplary, or punitive damages, or for lost profits, lost data, loss of goodwill, or business interruption. 

To the fullest extent permitted by law, our total liability for any claim related to the Services will not exceed the amount you paid to us for the Services in the 12 months before the claim arose, or CAD $100,  whichever is greater. 

18. INDEMNITY 

You agree to defend, indemnify, and hold harmless EB & Co. Inc. from claims, liabilities, damages, losses,  and expenses arising from your misuse of the Services, violation of these Terms, violation of law, or  infringement of third-party rights. 

19. GOVERNING LAW 

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada  applicable therein, without regard to conflict of law principles.
